Public offer

1.1 Public offer – the Seller's public proposal, addressed to an indefinite group of persons, to conclude a distance sale contract with the Seller on the terms published at rmartgrouptech.com (the "Offer").

1.2 Acceptance – the Buyer's full and unconditional acceptance of the terms of the Offer.

1.3 Website – the online resource of RMART-GROUP LLC at rmartgrouptech.com: a set of interlinked web pages that aggregates information about Products (services), where Products offered by Sellers are presented together with payment and delivery terms.

1.4 Product information aggregator – the website at https://rmartgrouptech.com/ where, for a given Product, the consumer can review the Seller's proposal to conclude a sale contract, conclude that contract with the Seller, and prepay for the Product by transferring funds to the aggregator owner (RMART-GROUP LLC) using the available cashless payment methods.

1.5 User – an individual visiting the Website who accepts the terms of this Offer and wishes to place an Order on the Website.

1.6 Buyer – a consumer, a User who has placed an Order on rmartgrouptech.com, purchasing products solely for personal, family, household and other needs not related to business activity.

1.7 Seller – RMART-GROUP LLC or another party named as the Seller in the Product card. Where another party is named as the Seller, RMART-GROUP LLC provides that Seller with services for organising the sale of the Product through rmartgrouptech.com, while that other party remains the Seller of the Product.

1.8 Product card – the Website interface for a specific Product model, containing the description, price and other characteristics of the product, and the Website functionality for placing an Order.

1.9 Account – the User's/Buyer's page, available after registration on the Website, containing personal data and accessed with a login and password or with a phone number and a sign-in code sent to it. Actions performed through the Account are deemed performed by the User/Buyer whose personal data is specified in the Account.

1.10 Product – an object of sale, not withdrawn from or restricted in civil circulation, offered for sale on the Website.

1.11 Order – the Buyer's duly completed request to purchase and deliver, to the address specified by the Buyer or via pickup, the Products selected on the Website.

1.12 Distance selling – the sale of products under a retail sale contract concluded on the basis of the Buyer's review of the product description provided by the Seller on the Website, without the Buyer being able to inspect the Product or its sample directly when concluding the contract.

1.13 Pickup – the Buyer's collection of the purchased Product from the RMART-GROUP LLC retail stores listed on the Website as available for the ordered Product.

1.14 Delivery – services for delivering the Product to the address specified by the Buyer and handing it over to the Buyer or to a person named by the Buyer.

1.15 Delivery service – a third party providing order delivery services to Buyers under a contract with the Seller.

1.16 Contact centre – the centre that handles enquiries from Buyers and/or internet users who are potential Buyers, by voice channels and email.

2.1 RMART-GROUP LLC is the owner of the product (service) information aggregator published on the internet at rmartgrouptech.com (the "Website").

2.2 These Terms of sale, together with the Product information presented on the Website, constitute a public offer in accordance with applicable law.

2.3 The Seller sells Products through the Website to any Buyer who places an Order on the terms of this Offer.

2.4 By placing a Product Order through the Website, the User agrees to the terms of sale set out below and, for Products sold by parties other than RMART-GROUP LLC, also to those Sellers' terms of sale and delivery. By completing the Order the Consumer confirms having reviewed the Product information on the Website, including but not limited to its characteristics, condition, warranty terms, contents and appearance.

2.5 Information about the Product's Seller is shown in the Product card on the Website.

2.6 RMART-GROUP LLC may amend the terms of the Offer unilaterally, with notice given by publishing the information on the Website. The new version of the Offer takes effect on the day after its publication on the Website, unless the Offer provides otherwise.

2.7 The public offer is deemed accepted by the Website visitor/Buyer from the moment the Buyer places and fully pays for an Order, with or without signing in on the Website.

2.8 By placing an Order, the User/Buyer agrees that the Seller may entrust performance of the Contract to a third party while remaining responsible for its performance.

2.9 All rights and obligations under the Contract concluded with the User arise directly with the Seller. By accepting this Offer the Buyer fully understands and agrees that where the contract is concluded with a Seller other than RMART-GROUP LLC, RMART-GROUP LLC is not a party to that contract and bears no obligations related to its performance other than those provided in this public offer.

2.10 Within the scope of the Order, RMART-GROUP LLC provides the User with informational support for the Contract concluded between the User and the Seller.

2.11 The Buyer may place an order on the Website 24 hours a day, 7 days a week, except during maintenance or technical outages.

2.12 The addresses and opening hours of the RMART-GROUP LLC retail stores where returns can be made are available on the Website in the "Returns" section.

2.13 Relations between the Website visitor/User/Buyer and the Seller, including the conclusion and termination of the sale contract, are governed by applicable consumer protection law.

2.14 The retail sale contract is deemed concluded from the moment the Seller issues the Buyer a receipt confirming payment for the Product.

2.15 Each Party warrants to the other that it has the necessary legal capacity, as well as all rights and powers necessary and sufficient to conclude and perform the retail sale contract.

2.16 Any statements, claims, demands or letters received by the Seller after 17:00 on a business day, or on a public holiday or weekend, are deemed received by the Seller on the next business day.

3.1 Registration on the Website is not required to place an Order. The User/Buyer may register voluntarily to access the additional features of the personal account (order history and tracking, information about the Seller's promotions, etc.).

3.2 When registering on the website the User/Buyer must provide the following information:

1) name;

2) mobile phone number, for sending the Order number confirming the conclusion of the sale contract and a text message with the secret code required to receive the Order;

3) email address.

3.3 When registering, the User/Buyer also creates a password for access to the personal account on the Website.

3.4 By providing RMART-GROUP LLC with their email address and phone number, the User/Buyer consents to the use of these communication channels by RMART-GROUP LLC and by third parties engaged by it to fulfil its obligations to Users/Buyers, for sending promotional and informational messages about discounts, current and upcoming promotions and other events of the Seller, order dispatch notifications, and other information directly related to the performance of obligations under this Offer.

3.5 The Seller is not responsible for the completeness and accuracy of the information provided by the User/Buyer at registration and/or when placing an Order. The Seller may hand over the product to any person presenting the order number, the secret code or other (including electronic) confirmation of the conclusion of the retail sale contract or of the order.

3.6 The delivered Product is handed over to the Buyer at the address specified by them or, in the Buyer's absence, to any person presenting the order number or other (including electronic) confirmation of the conclusion of the retail sale contract or of the order.

3.7 The Buyer undertakes not to disclose to third parties who are not recipients of the Order the Order number, the Order secret code, the login and password used at registration, or other details. If the Buyer suspects that their login and password are not secure or may be used by third parties without authorisation, the Buyer undertakes to notify the Seller immediately via the "Feedback" section.

4.1 An Order may be placed by the User/Buyer through the Order form on the Website.

4.2 A User's/Buyer's Order may contain Products of one Seller only. To order Products of different Sellers, the corresponding items are placed as separate orders.

4.3 In the Product card the User/Buyer selects the delivery method: pickup from an RMART-GROUP LLC retail store (only for RMART-GROUP LLC Products) or delivery by the Delivery service (for all Products).

4.4 The User/Buyer accepts the terms of sale of the selected Product by clicking the "Place order" button and, for Products sold by parties other than RMART-GROUP LLC, by clicking "Place order" and paying in full.

4.5 After the order is placed, RMART-GROUP LLC sends the Buyer a confirmation of the contract by email or via a call from a Contact centre operator. The confirmation includes the Order number and the expected date the Order will be handed to the Delivery service.

4.6 The Seller may cancel an Order (including after it has been confirmed to the Customer) in the following cases:

— the Product is out of stock (including where it was sold out fulfilling earlier Orders);

— fulfilment has become impossible for reasons beyond the Seller's control (restrictive measures by authorities, impossibility of delivery to the address specified by the Buyer, inability to contact the Buyer, etc.);

— bad-faith conduct by the Buyer indicating no genuine intention to purchase, including providing false information, repeated failed deliveries because the Delivery service could not reach the Buyer at the confirmed address, or purchasing for resale (in large quantities);

— the Product cannot be sold at the price stated in the Order because the quantity allocated by the Seller for a Promotion has been exhausted;

— the Buyer fails to collect the Order within the reservation period set for the relevant pickup point, where the Product was ordered for pickup.

4.7 If the Products ordered by the Buyer are out of stock, RMART-GROUP LLC may notify the Buyer by email to the address provided at registration or when placing the Order, or via a call from a Contact centre operator, and propose alternatives, including cancellation of the Order.

4.8 If a prepaid Order is cancelled, the cost of the cancelled Product is refunded to the Buyer by the same method used for payment, within 3 (three) days. The Customer may place a new Order, which is paid separately. If the price has increased by the time the new order is placed and the previous order was not cancelled due to a defect, the price difference is not compensated.

4.9 The Buyer bears full responsibility for providing incorrect information that makes it impossible for the Seller to properly perform its obligations to the Buyer.

5.1 After the Order is placed on the Website, the Buyer receives preliminary information about the expected delivery date by email to the address provided at registration or when placing the Order. The RMART-GROUP LLC representative handling the Order confirms the Order details and stock availability, and agrees the delivery date and the time needed to process and deliver the Order. The delivery date depends on which entity is the Seller of the ordered Product and on the delivery region.

5.2 The delivery territory may be limited for certain types of Products, including by region. Available delivery territories are shown in the Product card and confirmed when the Order is placed.

5.3 The methods and approximate delivery times for Products sold by RMART-GROUP LLC are listed on the Website in the "Delivery & payment" section. For Products sold by other Sellers they are shown in the Product card.

5.4 Receiving a Product at an RMART-GROUP LLC retail store (pickup):

— the Buyer states the Order number and the Order secret code to the Seller;

— if the buyer has lost the secret code, the Seller sends it to the mobile number provided when the Order was placed;

— the Seller enters the secret code into the system to verify the payment, order number, amount and product;

— if the secret code is correct, the Seller hands the product to the Buyer or to the Order recipient;

— on receipt the Buyer checks the appearance and quality of the product; if there are no complaints, the Buyer/Recipient accepts the Product and signs for it. Acceptance confirms the Buyer's agreement with the appearance and contents of the Product and the absence of external damage;

— once the Buyer/Recipient signs the handover document, the purchase is complete.

5.5 For identification purposes, and where unlawful receipt of the Order is suspected, the person delivering a prepaid Order may request an identity document from the Recipient and note its type and number on the Order receipt.

5.6 Where the Buyer chooses delivery, it is carried out by the Delivery service to the address specified when the Order was placed. To change the delivery address or date, the Buyer may contact the Contact centre.

5.7 The Buyer may change the delivery date once, by no more than 5 (five) days from the last delivery date agreed with the RMART-GROUP LLC representative when the Order was placed.

5.8 The Seller's obligation to hand over the product is deemed performed when the Delivery service hands the Product to the Recipient or another person presenting the Order number, or when the Recipient collects the Product at a pickup point.

5.9 On receiving the Order, the Buyer/Recipient checks the integrity of the packaging and the appearance, quantity, assortment and contents of the Product. If there are no complaints, the Recipient signs the accompanying documents or follows the handover procedure of the relevant Delivery service, and pays for the Order (where payment on delivery was selected).

5.10 An Order may be delivered in parts. Splitting an Order into several deliveries at the Seller's initiative does not affect the delivery cost for the Buyer.

5.11 The risk of accidental loss of or damage to the Product passes to the Buyer when the Order is handed over and/or the Recipient signs the delivery documents. If the Order is not delivered through the Seller's fault, the Seller refunds the Buyer the full prepaid cost of the Order and delivery after receiving confirmation of the loss from the Delivery service.

5.12 The Buyer may cancel the Order at any time before receiving it by calling the Contact centre, and may refuse all or part of the Products in the Order at the moment of receipt.

5.13 The Buyer may not refuse a product of proper quality that has individually defined properties, if it can only be used by the buyer personally.

5.14 If the Order was prepaid by bank card, the refund for a cancelled Order is made to the card used for payment.

6.1 The Seller may offer pre-orders for Products that are out of stock ("pre-order").

6.2 For a Product available for pre-order, the Website shows the planned date the Product goes on sale, which the Seller may change.

6.3 Information about changes to the delivery dates of a pre-ordered Product is sent to the Buyer's email address provided at registration, or to the phone number provided when the Order was placed.

6.4 For a pre-order, the Seller's obligation to hand over the Product arises once it goes on sale. If, for reasons beyond the Seller's control, the manufacturer cancels or indefinitely postpones the release, the Seller cancels the pre-order unilaterally.

6.5 When the product arrives at the warehouse, the Seller requests the Buyer's confirmation of the Order, after which the Product is handed to the Delivery service.

6.6 For the avoidance of doubt, pre-orders under this section are available only for Products sold by RMART-GROUP LLC.

7.1 The Product price is shown on the Website in the currency displayed at checkout and includes value added tax where the relevant Seller applies the general tax regime.

7.2 The Product price and the final Order amount, including delivery and applicable discounts, are shown at checkout and are valid at the moment the "Confirm order" button is clicked.

7.3 Payment methods are listed on the Website in the "Delivery & payment" section. The agreed payment method is the one selected by the User/Buyer from those available at checkout. Products ordered from Sellers selling through the RMART-GROUP LLC website are paid by 100% prepayment.

7.4 In all cases except cash payment, receipts are sent to the Buyer's email and are not provided in print. RMART-GROUP LLC's obligation to provide an electronic receipt is deemed performed when it is sent to the email address provided at registration or checkout.

7.5 For cash payments, printed receipts are handed to the Customer when the Product is handed over.

7.6 An electronic gift certificate may be used to pay for Products sold by RMART-GROUP LLC (one certificate per order). The values of several certificates held by one bearer are not combined.

8.1 Products are exchanged and returned in accordance with applicable consumer protection law. To exchange or return a Product, the Buyer may contact any RMART-GROUP LLC retail store or the relevant service centre ("RS/SC").

8.2 To return a Product, the Buyer submits a return request by calling the Contact centre or by filling in the return form on the Website. The Buyer must print out and complete the return request form.

8.3 Returning a product of proper quality.

8.3.1 The Buyer may refuse the Product at any time before it is handed over, and within 7 (seven) days after receiving it.

8.3.2 A Product of proper quality can be returned if its presentation, consumer properties and the proof of purchase are preserved.

8.3.3 When returning a Product of proper quality that came with a gift, the gift must be returned to the Seller with its presentation and consumer properties preserved.

8.4 Returning a product of inadequate quality.

8.4.1 A product of inadequate quality is a product with manufacturing defects that cannot perform its functions.

8.4.2 The Buyer may return a Product of inadequate quality within the warranty period set for the Product (where one is set).

8.4.3 A Buyer who has been sold a Product of inadequate quality, unless this was disclosed by the Seller, may at their choice demand:

8.4.3.1 free rectification of the defects or reimbursement of the cost of fixing them;

8.4.3.2 a proportional reduction of the purchase price;

8.4.3.3 replacement with a product of the same make or the same product of a different make with a price recalculation;

8.4.3.4 a refund of the amount paid for the Product.

8.5 If the Buyer refuses the Product, the Seller must refund the amount paid, less the Seller's cost of delivering the returned product back (for returns of Products of proper quality), no later than 10 days from the date the Buyer submits the request.

8.6 If the Product is on the list of technically complex products (smartphones, tablets, watches, large home appliances, etc.), the Buyer may demand an exchange or a refund within 15 (fifteen) days of receiving the Product. After this period, the right to a return or exchange arises only if a substantial defect is found in the technically complex product.

8.7 When a Product is returned to an RS/SC, RMART-GROUP LLC staff may open the packaging for an initial inspection and, where necessary, check the quality of the Product.

8.8 In a dispute over the causes of the defects, the Seller must carry out an expert examination of the Product at its own expense.

8.9 The cost of an independent expert examination is reimbursed to the Buyer if its conclusion states that the defects arose from a manufacturing fault or other causes that existed before the Product was handed to the Buyer.

8.10 If the independent examination concludes that the defects arose from improper use of the Product, the Buyer bears the cost of the examination.

8.11 A defective Product whose defects arose through the Buyer's fault is not eligible for return.

8.12 Refunds for returned Products are made by the same method used for payment.

9.1 All products sold on the Website carry warranty obligations and come with the manufacturers' warranty cards (where the manufacturer supplies them).

9.2 Products of RMART-GROUP LLC and other Sellers come with a limited 2-year warranty. For Products of other Sellers, RMART-GROUP LLC provides warranty service only for rectifying manufacturing defects confirmed by the RMART-GROUP LLC service centre. For warranty service the Buyer may contact an RS/SC.

9.3 Warranty service does not cover products whose defects arose from:

— the Buyer's breach of the rules of use, storage or transportation of the product;

— actions of third parties;

— repairs or modifications by unauthorised persons not sanctioned by the manufacturer;

— force majeure (natural disasters, fire, lightning, etc.).

10.1 RMART-GROUP LLC and other Sellers are not liable for damage caused to the Buyer by improper use of Products ordered on the Website.

10.2 RMART-GROUP LLC may assign or otherwise transfer its rights and obligations arising from its relations with the Buyer to third parties.

10.3 RMART-GROUP LLC is not responsible for the accuracy and correctness of the information provided by the User/Buyer at registration or checkout.

11.1 RMART-GROUP LLC processes the User's/Buyer's personal data to perform the terms of this Offer.

11.2 When processing personal data, RMART-GROUP LLC keeps the User's/Buyer's personal data confidential and takes the necessary legal, organisational and technical measures to protect it from unlawful or accidental access, destruction, alteration, blocking, copying, provision or distribution, and from other unlawful actions.

11.3 More detailed information about confidentiality and the protection of personal information is published on the Website.

12.1 RMART-GROUP LLC sends notifications and messages to the User/Buyer at the email address provided at registration or checkout, or via phone calls from the Contact centre.

12.2 If the Buyer has questions about purchasing products or the Seller's services under this Public offer, or complaints about the procedure and terms of purchase, the Buyer may contact the RMART-GROUP LLC Contact centre by the phone numbers listed on the Website or by email, or any RMART-GROUP LLC retail store.

12.3 Responses by RMART-GROUP LLC to the User's/Buyer's enquiries and claims are deemed duly sent when sent to the User's/Buyer's email address.

12.4 The parties will seek to settle all disputes through negotiations; failing agreement, the dispute is referred to the competent court in accordance with applicable law.

12.5 If a court finds any provision of the Offer and rules invalid, the remaining provisions remain in force.

13.1 The Offer takes effect from the moment of its acceptance by the Buyer in accordance with clause 4.4 of this public offer, and remains in force until the acceptance of the Public offer is withdrawn.
